These Terms and Conditions (the “Terms”) describe the terms and conditions governing your use of the services, data, software, applications (including mobile applications), website (https://www.mintsunday.com/) (the “Website”), and tools (collectively “Services”) provided by Mint Sunday (“Mint Sunday,” “we,” “us”, or “our”).

Please read the following Terms carefully.

By using our Services, or by clicking to accept or agree to these Terms, you accept and agree to be bound and abide by these Terms and our Privacy Policy, found at https://www.notion.so/Privacy-Policy-a536e1b3b03b4ef29679cc3cb874371e,  incorporated herein by reference, in full. If you do not agree to these Terms, do not use any portion of the Services.

These Terms contain provisions that govern how claims between you and us are resolved (see Section 11, Disputes with Mint Sunday below).

1. Changes to Terms and Services.

Mint Sunday may change these Terms without notice to you. You should view these Terms often to stay informed of any changes that may affect you. YOUR CONTINUED USE OF SERVICES FOLLOWING THE POSTING OF REVISED TERMS AND CONDITIONS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY OF THE CHANGES, YOU MUST CANCEL YOUR ACCOUNT AND NOT USE ANY PORTION OF THE SERVICES.

The version of these Terms posted on each respective date you visit the Website and/or Services will be the Terms applicable to your access and use of the Services on that date. We reserve the right to terminate these Terms, or to refuse, restrict, or discontinue access to or use of the Services (or any portions, components, or features thereof) to you or any other person or entity, if you are in breach of the Terms or for any reason or for no reason whatsoever, at any time, without notice or liability.

We may update the content on the Services from time to time, but the content is not necessarily complete or up-to-date. Any of the material on the Website or other Services may be out of date at any given time, and we are under no obligation to update such material.

2. Services.

Mint Sunday provides users a two-way marketplace platform with its primary focus in connecting social media influencers, referred to non-exclusively as “Content Creators,” “Creators,” or “Influencers” (“Talent”) with businesses, organizations and individuals (“Clients”) for the purposes of exchanging sponsored social media posts for a predetermined amount of food, drinks, or experiences as provided by the Clients.

Talent is allowed to use the platform at the sole discretion of Mint Sunday, based upon criteria which is determined solely by Mint Sunday. Mint Sunday reserves the right to accept or reject any applicant to the platform without reason, explanation, or cause. Upon being accepted, Talent is notified which of their social media account(s) are approved for fulfilling the terms of offers set forth by Clients. Talent may not make use of unapproved accounts for the purposes of fulfilling the terms set forth in an offer made to them by a Client. Posting on alternate accounts, posting maliciously, in a defamatory manner, or in other such ways as to manipulate the terms of an offer may be considered a breach of these Terms.

Mint Sunday allows Clients to set their own terms for offering free or discounted food, drinks, or experiences. For example, a Client may offer Talent $100 worth of food or drinks in exchange for Talent posting a set amount of content on their approved social media account with the Client’s page tagged, or using a Client-specified hashtag.

Talent finds Clients by viewing their offerings in the Mint Sunday app and requesting to visit a Client at a specified time to fulfill the conditions of the Client’s offer. Upon requesting to visit a Client, the Client will see which Talent has requested to visit them as well as the time requested to visit. The Client may either approve the Talent’s requested date and time, propose an alternate time, or decline the visit from the Talent. In the event that the Client proposes an alternate time to the Talent, the Talent must either accept the alternate time or decline the invitation from the Client. In this case, no exchange services shall occur.

Mint Sunday has no direct involvement in any transaction between a Talent and a Client and cannot ensure that any Talent will perform in accordance with a contract. Clients are encouraged to directly communicate with potential Talent in person upon their arrival at their location. Mint Sunday is not responsible for facilitating refunds or returns between any Client and Talent. By using the Services, you agree that you are making use of our Services at your own risk.

3. Accounts, Passwords, and Security.
